Commissioning terms

How a bespoke website or immersive experience is scoped, paid for, approved and handed over. Your written quote sets out the specifics of your project and forms part of these terms.

1. Scope and quote

Every project begins with a brief and, for immersive work, a discovery stage. You then receive a written scope, a fixed price and a timeline. Work outside the agreed scope is quoted separately before it begins.

2. Payment

3. Stages and approvals

Projects move through clear stages: discovery and scope, concept, a working prototype, full production, then testing and launch. Each stage is approved by you in writing; an email is enough. Full production begins only once the prototype is approved. Changes to a stage after its approval are treated as new work.

4. Revisions

Two rounds of revisions are included at each stage. Further rounds, or changes of direction, are quoted at an agreed rate.

5. Your materials

You supply your content, such as text, logos, photographs and brand assets, and confirm you have the right to use them. You remain the owner of everything you supply.

6. Ownership

What you own. On payment in full, you own the bespoke work made for your project: its design, its content and the finished experience as a whole.

What we keep. JJ Mitchell Atelier keeps ownership of its own tools and pre-existing materials: its code engines and effects, interactive systems, sound library, techniques and know-how, and its existing works. You receive a permanent, non-exclusive, worldwide licence to use these as part of your delivered project. They may not be extracted, resold or reused separately.

Until the final payment is made, all rights in the work remain with Mitchell Solutions Limited.

7. Licensing existing experiences

Existing JJ Mitchell Atelier works, such as NYLR and Mercury, are licensed, not sold. A licence sets out the period, territory, exclusivity and fee in a separate written agreement. An exclusive licence or outright purchase is available by separate agreement only.

8. Third-party assets

Fonts, stock photography, music and sound effects from third parties are used under licences that permit their use in your project. Where a licence must be bought in your name, the cost is agreed with you first. Third-party assets remain the property of their owners.

9. Timelines

Timelines depend on timely feedback, approvals and materials. If these are delayed, launch dates move accordingly.

10. Handover and support

Your project is handed over in your own accounts for domain and hosting, so you are not locked in. Ongoing support, updates and hosting changes are optional and quoted separately.

11. Portfolio credit

JJ Mitchell Atelier may show completed work in its portfolio and credit itself as the studio, unless you ask in writing for the project to be kept confidential.

12. Cancellation

Either party may end a project by written notice. Work completed up to that point is payable, and the deposit is retained. Rights in unfinished work pass only for the parts paid for.

13. Liability

JJ Mitchell Atelier’ total liability under a project is limited to the fees paid for that project. JJ Mitchell Atelier is not responsible for outages or changes made by third-party platforms, such as hosting providers, browsers or app stores.

14. Law

These terms are governed by the laws of England and Wales.
